To the maximum extent permitted by law, under no circumstances shall STL Group be liable for any loss or damage whatsoever including any indirect, incidental, special, consequential or punitive damages, such as but not limited to damages for loss of business, or loss of profits, arising out of or referable to the accessing, downloading, using or relying on any of the materials or contents on this website or any materials or contents on a linked third party website, whether caused by the negligence of STL Group or otherwise.

7. Virus or Malware Warning
Without prejudice to the generality of Clause 5, STL does not represent or warrant that any files obtained from or through this website are free from computer viruses or defects. Any such files are provided and may only be used on the basis that the user assumes all responsibility for any loss, damage or consequence resulting directly or indirectly from the use of those files.

8. Indemnity
You agree to defend, indemnify and hold STL Group harmless from any and all liabilities, claims, costs and expenses (including legal fees and disbursements on a full indemnity basis), related to any breach of these Terms of Use by you, or (to the maximum extent permitted by law) in connection with your use of this website or the submission, posting or transmission of any information, materials or contents on this website by you. If required by STL at its sole discretion, you shall permit STL to assume the exclusive defence and control of any claim subject to the aforementioned indemnification by you of all costs and expenses relating to such defence and you shall not in any event settle any claim without the prior written consent of STL.

9. Concerns Regarding Terms of Use
Should you object to the Terms of Use or any modifications or revisions thereto, or become dissatisfied with this website, your only recourse (to the maximum extent permitted by law) is to immediately cease the use of this website.

11. Severability
If any provision of these Terms of Use is found to be illegal, invalid or unenforceable, such finding will not affect the legality, validity or enforceability of any other provisions as though such illegal, invalid or unenforceable provision had not been included herein.

12. Non-Waiver
No failure to act upon or enforce of any of the provisions of these Terms of Use shall be deemed or shall constitute a waiver of any of the provisions hereof, nor shall such waiver constitute a continuing waiver.

13. Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Singapore.

14. Use of Functions, Applications or Systems
If you are a registered user of any of the functions, applications or systems on this website (including but not limited to the eProcurement System and chatbot), you are required to log in using your User ID and password (if necessary). You will be responsible for the confidentiality and use of your User ID and password. You will be held solely responsible for all communications made through this website using your User ID and password whether or not authorized by you.

You will ensure that your employees and/or agents (as the case may be) maintain confidentiality of your User ID and password. You will also ensure compliance by your employees and/or agents of all instructions or notices given by STL from time to time regarding the use of this website.

You will notify STL immediately upon becoming aware of any unauthorised access to or use of this website and agree that STL shall not be responsible to you nor shall you be entitled to make any claim, demand or request for compensation from STL in respect of any loss or damage suffered by you as a result of any unauthorized access and/or use of your User ID and password.

If your submission (as may be required by the functions, applications or systems on this website) is successful, you will see an online acknowledgement page. You will also receive an acknowledgement e-mail. Alternatively, you can also check your submission status via the relevant function, application or system page. All submissions must comply with the timeline(s) specified in the function, application or system (including but not limited to the ITQ or tender document, as the case may be).

15. Representations and Warranties
You hereby represent, warrant and covenant that:

1. where you enter into a contract, you are of sufficient legal capacity to enter into binding contracts;
2. all information provided by you and/or your employees and/or agents to STL is true and correct;
3. you are not subject to any supply restrictions or prohibitions imposed by any applicable government authority or agency;
4. you will maintain the security and confidentiality of the password issued by STL to you upon registration and you will use the same only for legitimate purposes on this website; and
5. you will not upload or submit through this website any information, representation or material which:
1. may restrict or inhibit any other user from using and enjoying this website;
2. is unlawful, threatening, harmful, abusive, libellous, defamatory, obscene, vulgar, offensive, pornographic, profane, threatening, sexually explicit or indecent;
3. may constitute or encourage conduct that would give rise to civil liability, constitute a criminal offence, or otherwise violate the law;
4. may violate, plagiarize or infringe the rights of third parties including, without limitation, copyright, trademark, patent or other intellectual property rights, moral rights, privacy rights, publicity rights or any other proprietary right in any jurisdiction;
5. may contain any viruses, Trojan horses, worms, time bombs or other harmful component designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or any date or information contained therein;
6. may interfere with or disrupt the operations and functionality of this website or servers or network connected to this website;
7. may constitute unsolicited or unauthorized advertising, promotional material, “junk mail”, “spam”, “chain letter”, “pyramid schemes” or any other form of solicitation; or may constitute information, the publication, dissemination, distribution or disclosure of which may violate or contravene or be prohibited by the provisions of the Official Secrets Act of the Statutes of the Republic of Singapore (Cap. 213).

16. Use of Information
By submitting data or information, posting messages, uploading files, inputting data or content or engaging in any other form of communication (individually or collectively “Communications”) to this website, you hereby grant to STL a perpetual, worldwide, irrevocable, unrestricted, non-exclusive, royalty free license to use, copy, license, sublicense, adapt, distribute, display, publicly perform and display, reproduce, transmit, modify, edit and otherwise exploit such Communications, in all media now known or hereafter developed. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate, that use of the content does not violate these Terms of Use and will not cause injury to any person or entity. STL shall in no way whatsoever be responsible or liable for any Content posted by you or any third party. You hereby waive all rights to any claim against STL Group for any alleged or actual infringements of any proprietary rights, rights of privacy and publicity, moral rights, and rights of attribution in connection with such Communications.

STL may monitor your use of this website, and may use and disclose any information, materials and contents received from you or collected through your use of this website in connection with the procurement exercise or for any lawful reason or purpose.

You acknowledge that transmission to and from this website is not confidential and your Communications may be read or intercepted by others. STL makes no representation, warranty or assurance that your Communications will be treated as confidential or proprietary. You acknowledge and agree that by submitting Communications to STL, no confidential, fiduciary, contractually implied or other relationship is created between you and STL.

17. Disclaimer for Track & Trace Plus System and Other Similar Systems
Where you access STL’s Track & Trace Plus System (“T&T”) or any other similar or comparable system on this website, you accept and agree without any exception that any reliance on any of the information or data therein is at your own risk and STL shall not be liable or responsible for any loss or damage or costs arising from such reliance. Accordingly, STL advises against placing reliance on for example, the “Collection Ready Date” and STL accepts no liability for any use of such information or for the consequences of any action taken on the basis of the information provided in relation thereto.
